Appoinment & Cancellation Policy

At Lotus Esthetic & Skin Care, each appointment is intentionally reserved to deliver a personalized and elevated aesthetic experience. In consideration of our providers, medical staff, and valued guests, we respectfully uphold the following scheduling standards. Appointment Reservations As a courtesy to our guests, we do not require a credit card or booking fee for clients in good standing. However, in accordance with California business and consumer protection standards, we reserve the right to require a valid card on file or a booking deposit for clients who do not adhere to our cancellation policy, as outlined below. Cancellation & Rescheduling Policy We require a minimum of 24 hours’ notice to cancel or reschedule an appointment. Cancellations made less than 24 hours before the scheduled appointment time are considered late cancellations. Failure to attend a scheduled appointment without notice constitutes a no-show. This policy is applied consistently and uniformly to all clients in compliance with California consumer fairness standards. Missed Appointment Policy After two (2) no-shows or late cancellations, the courtesy of booking without a deposit will be revoked. At that time: A non-refundable booking fee will be required to secure future appointments. The booking fee will be applied toward the reserved service if the appointment is honored. Deposit requirements will be clearly disclosed prior to scheduling and charged only with client authorization, in accordance with California consumer protection laws. We cannot delete your personal information except by also deleting your user account. Our skin care and dermo aesthetic treatments are offered to our LOTUS ESTHETIC & SKIN CARE customers. It allows our users to prevent the aging in the United States and to reduce some of the skin issues. Users will be able to access documents generated by the LOTUS ESTHETIC & SKIN CARE platform, connect with LOTUS ESTHETIC & SKIN CARE partners that execute different services for users, and take advantage of perks and discounts within the LOTUS ESTHETIC & SKIN CARE Network.

3 – FEES

We charge a fee for use of the services available on our website. You are responsible for any fees applicable to other features, products, services or licenses you purchase or that are purchased through your account. You authorize us or our designated payment processor to charge your specified credit card, debit card or other payment method for such fees.

Unless otherwise specified, all fees are in United States dollars and all charges will be made in United States dollars. Any applicable sales or other taxes are additional to the stated fee. Currency exchange settlements and foreign transaction fees are based on your agreement with your credit card or other payment method provider.

Except as required by law or otherwise stated on the site or in the services, all fees are nonrefundable and payments and purchases may not be canceled by the user. However, we reserve the right to refuse or terminate any purchase or attempted purchase at any time in our sole discretion.

By Customer providing any email address, phone number, cellular phone number, or any other means of contacting Customer (“Customer Contact Information”), Customer expressly agrees that LOTUS ESTHETIC & SKIN CARE can contact such Customer via such Customer Contact Information (including via text messages) for any purpose, including providing information regarding or in connection with the Services, as well as for marketing purposes.

6 – CHANGES TO THE TERMS OF USE

We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Website thereafter. TERMINATION IS YOUR SOLE AND EXCLUSIVE REMEDY. IN PARTICULAR, WE DISCLAIM THAT THE SERVICES WILL RESULT IN ANY PARTICULAR FINANCIAL BENEFIT OR OTHER BENEFIT OR SUCCESS TO CUSTOMERS IN ANY WAY.

WE NEITHER WARRANT NOR REPRESENT THAT YOUR USE OF THE SERVICES WILL NOT INFRINGE THE RIGHTS OF THIRD PARTIES. WE DO NOT GUARANTEE THAT THE SERVICES WILL FUNCTION WITHOUT INTERRUPTION OR WITHOUT ERRORS. THE OPERATION OF THE SERVICES, INCLUDING THE WEBSITE, MAY BE INTERRUPTED DUE TO MAINTENANCE, UPDATES, OR SYSTEM OR NETWORK FAILURES. Customer hereby agrees, represents, and confirms that Customer will not use the information presented, products, Services or materials purchased from or provided by LOTUS ESTHETIC & SKIN CARE to commit fraud or any other illegal act or crime; to mispresent identity or legal purpose; to misrepresent, misstate, or falsify information on legal documentation; to misrepresent or mistake any fact; or in any other unlawful, illegal or improper manner. Customer hereby agrees to be responsible for any costs, including legal fees, incurred by LOTUS ESTHETIC & SKIN CARE in the event Customer fails to conform to this requirement. Customer hereby accepts full liability and shall indemnify, defend and hold LOTUS ESTHETIC & SKIN CARE, its owners, agents, employees, representatives, and providers harmless from any and all damages, claims, demands, judgments, expenses, and causes of action asserted against LOTUS ESTHETIC & SKIN CARE by any person or local, state or federal government agency arising from or out of any event, circumstance, act or incident resulting from Customer’s use or misuse of the information presented, or products, Services or materials provided by LOTUS ESTHETIC & SKIN CARE.

Customer hereby agrees and confirms to give LOTUS ESTHETIC & SKIN CARE complete authority to sign documents on Customer’s behalf for the purpose of, and not limited to, completing any order or modification thereof on Customer’s behalf.

10 – LIMITATION OF LIABILITY

CUSTOMER HEREBY AGREES THAT IN NO EVENT SHALL LOTUS ESTHETIC & SKIN CARE BE LIABLE FOR ANY DAMAGE, LOSS, CLAIM, INJURY, OR LIABILITY RESULTING FROM YOUR USE OF THE WEBSITE OR ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR INFORMATION PROVIDED BY LOTUS ESTHETIC & SKIN CARE (INCLUDING, BUT NOT LIMITED TO, LOST PROFITS, SPECIAL, DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, COMPENSATORY, OR CONSEQUENTIAL DAMAGES).

TO THE EXTENT PERMITTED BY LAW, NEITHER LOTUS ESTHETIC & SKIN CARE NOR ANY OF LOTUS ESTHETIC & SKIN CARE AFFILIATES SHALL BE LIABLE FOR ANY DAMAGES IN EXCESS OF THE FEES, IF ANY, YOU PAID LOTUS ESTHETIC & SKIN CARE DURING THE CALENDAR YEAR IN WHICH SUCH EVENT IS CLAIMED TO HAVE OCCURRED, OR USD $100, WHICHEVER AMOUNT IS GREATER.

NEITHER LOTUS ESTHETIC & SKIN CARE NOR ANY OF LOTUS ESTHETIC & SKIN CARE AFFILIATES SHALL BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE OR CONSEQUENTIAL DAMAGES OR LOSS OF USE, PROFIT, REVENUE OR DATA TO YOU, ANY ENTITY, OR ANY THIRD PERSON. THIS LIMITATION OF LIABILITY SHALL APPLY REGARDLESS OF WHETHER (I) YOU BASE YOUR CLAIM ON CONTRACT, TORT, STATUTE OR ANY OTHER LEGAL THEORY, (II) WE KNEW OR SHOULD HAVE KNOWN ABOUT THE POSSIBILITY OF SUCH DAMAGES, OR (III) THE LIMITED REMEDIES PROVIDED IN THESE TERMS FAIL OF THEIR ESSENTIAL PURPOSE.

11 – WAIVER AND RELEASE

Customer hereby waives, discharges, and releases LOTUS ESTHETIC & SKIN CARE of any and all claims, losses, demands, or liability of any kind against LOTUS ESTHETIC & SKIN CARE, its owners, partners, affiliates, representatives, employees, agents, licensors, suppliers, and any other third-party providers, whether known, unknown, disclosed or undisclosed, arising out of or in any way connected with your use of the information or Services of LOTUS ESTHETIC & SKIN CARE.

Customer also acknowledges and agrees that when third parties provide fulfillment services on LOTUS ESTHETIC & SKIN CARE’s behalf and such services have been appropriately charged to Customer, including auto-renew fees, such fulfillment services cannot be subject to any type of refund and/or discount after charges for those services have been applied to the Customer’s account.

12 – INDEMNIFICATION

Customer hereby agrees to indemnify, defend and hold harmless LOTUS ESTHETIC & SKIN CARE, its owners, partners, affiliates, representatives, employees, agents, licensors, suppliers, and any other third-party providers, from and against all claims, losses, expenses, damages and costs, including but not limited to legal costs and fees, arising out of or in any way connected with Customer’s use of the information or Services of LOTUS ESTHETIC & SKIN CARE. Customer hereby agrees to indemnify, defend and hold harmless LOTUS ESTHETIC & SKIN CARE, its owners, representatives, and employees, from and against all claims, losses, expenses, damages and costs, including but not limited to legal costs and fees, arising out of or in any way connected to Services provided by an affiliate, partner, supplier, third party provider or vendor including but not limited to any act, omission, negligence, or error by such affiliate, partner, supplier, third party provider or vendor.

You agree to defend, indemnify and hold LOTUS ESTHETIC & SKIN CARE and its partners, as well as any of our respective subsidiaries, affiliated companies, officers, employees, members, directors, or service providers (“LOTUS ESTHETIC & SKIN CARE Affiliates”) harmless from and against any claims, liabilities, damages, losses, and expenses, including without limitation, reasonable attorney’s fees and costs, arising out of or in any way connected with any of the following alleged activities: (i) your Content or your access to or use of the Services; (ii) any alleged breach of these Terms; (iii) any breach, infringement, misappropriation or violation of any third-party right including without limitation any intellectual property right, publicity right, confidentiality, property right or privacy right; (iv) your violation of any laws, rules, regulations, codes, statutes, ordinances or orders of any governmental and quasi-governmental authorities, including, without limitation, any regulatory, administrative and legislative authorities; or (v) any misrepresentation made by you. We ask that you cooperate as reasonably requested by LOTUS ESTHETIC & SKIN CARE in the defense of any claim. LOTUS ESTHETIC & SKIN CARE reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you. Customer will not in any event settle any claim against LOTUS ESTHETIC & SKIN CARE or LOTUS ESTHETIC & SKIN CARE Affiliates, without the prior written consent of LOTUS ESTHETIC & SKIN CARE, which consent LOTUS ESTHETIC & SKIN CARE may refuse in its sole discretion.

13 – CHOICE OF LAW AND BINDING ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. ARBITRATION REPLACES THE RIGHT TO GO TO COURT, INCLUDING THE RIGHT TO A JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR SIMILAR PROCEEDING. IN ARBITRATION, A DISPUTE IS RESOLVED BY AN ARBITRATOR INSTEAD OF A JUDGE OR JURY.

The laws of the state of California shall govern this Agreement without giving effect to conflict of laws principles. We agree that any dispute, claim, or disagreement between us shall be resolved exclusively by arbitration. Arbitration is a process in which persons with a dispute(s): (i) agree to submit their dispute(s) to a neutral third person (an “arbitrator”) for a decision; and (ii) waive their rights to file a lawsuit in court to resolve their dispute(s). Each party to the dispute(s) has an opportunity to present some evidence to the arbitrator. pre-arbitration discovery may be limited. Arbitration proceedings are private and less formal than court trials. The arbitrator will issue a final and binding decision resolving the dispute(s), which may be enforced as a court judgment. A court rarely overturns an arbitrator’s decision.

THEREFORE, YOU ACKNOWLEDGE AND AGREE AS FOLLOWS:

For purposes of this Arbitration Provision the words “dispute” and “disputes” are given the broadest possible meaning and include, without limitation (i) all claims, disputes, or controversies arising from or relating directly or indirectly to the signing of this Arbitration Provision, the validity and scope of this Arbitration Provision and any claim or attempt to set aside this Arbitration Provision; (ii) all federal or State law claims, disputes or controversies, arising from or relating directly or indirectly to this Agreement (including the Arbitration Provision), the information you gave us before entering into this Agreement, and/or any past agreement or agreements between you and us; (iii) all counterclaims, cross-claims and third-party claims; (iv) all common law claims, based upon contract, tort, fraud, or other intentional torts; (v) all claims based upon a violation of any state or federal statute or regulation; (vi) all claims asserted by us against you, including claims for money damages to collect any sum we claim you owe us; (vii) all claims asserted by you individually against us and/or any of our employees, agents, directors, officers, shareholders, managers, or affiliated entities (hereinafter collectively referred to as “related third parties”), including claims for money damages and/or equitable or injunctive relief; (viii) all claims asserted on your behalf by another person; and/or (ix) all claims asserted by you as a private attorney general, as a representative and member of a class of persons, or in any other representative capacity, against us and/or related third parties.

All disputes hereunder shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association in effect at the time of the dispute. The cost of the arbitration will be born equally by the parties. The arbitration award will be final and binding and may be enforced by any court in Alameda jurisdiction.

Only disputes involving you and LOTUS ESTHETIC & SKIN CARE may be addressed in the arbitration. This means that the arbitration may not address disputes involving other persons with disputes similar to the disputes between you and LOTUS ESTHETIC & SKIN CARE.

The arbitrator shall have the authority to award any legal or equitable remedy or relief that a court could order or grant under this agreement. All statutes of limitations that apply to any dispute shall apply to any arbitration between us. The Arbitrator will issue a decision or award in writing, briefly stating the essential findings of fact and conclusions of law.

Binding Effect. This Arbitration Provision is binding upon and benefits you, your respective heirs, successors, and assigns. The Arbitration Provision is binding upon and benefits us, our successors and assigns, and related third parties. The Arbitration Provision continues in full force and effect, even if your obligations have been prepaid, paid, or discharged through bankruptcy. The Arbitration Provision survives any termination, amendment, expiration, or performance of any transaction between you and us and continues in full force and effect unless you and we otherwise agree in writing.

Severability. If any portion of this Arbitration Provision is deemed invalid or unenforceable, it will not invalidate the remaining portions of the Arbitration Provision, unless the provision precluding the arbitrator from conducting a class arbitration as set forth above is deemed invalid or unenforceable, in which case this entire Arbitration Provision shall be deemed void.

14 – GENERAL PROVISIONS

14.1 Severability. If any provision of these Terms is found by an arbitrator or court of competent jurisdiction to be illegal, void, or unenforceable, the provision will be modified so as to render it enforceable and effective to the maximum extent possible in order to effect the intention of the parties with respect to the provisions within the context of the overall Terms. If a court or arbitrator finds the modified provision invalid, illegal, void or unenforceable, the validity, legality and enforceability of the remaining provisions of these Terms will not be affected.

14.2 Entire Agreement. These Terms constitute the entire, complete and exclusive agreement between you and us regarding the Services, and supersede all prior agreements and understandings, whether written or oral, or whether established by custom, practice, policy or precedent, with respect to the subject matter of these Terms. You acknowledge that you have had the opportunity to review these Terms and our Privacy Policy with counsel of your choice.

14.3 No Informal Waivers, Agreements or Representations. Any failure to act with respect to a breach of these Terms by one party does not waive the other party’s right to act with respect to that breach or subsequent similar or other breaches. Except as expressly and specifically contemplated by the Terms, no representations, statements, consents, waivers or other acts or omissions by either party or its affiliates shall be deemed legally binding unless expressly and specifically documented in a writing that refers to the Terms and states expressly the intent to modify or supplement the Terms.

14.4 Assignment and Delegation. You may not assign or delegate any rights or obligations under the Terms without the prior written permission of LOTUS ESTHETIC & SKIN CARE. Any purported assignment and delegation by you will be ineffective. We may freely assign or delegate some or all of our rights and obligations under the Terms and Privacy Policy, effective on sending a notice to you at the email address we have for you, or if we have no email address for you, by posting a notice of assignment on the Website.
